These Terms of Service (the “Terms”) form a legally binding agreement between you (“you” or “user”) and Consensus Daily (“Consensus Daily,” “we,” “us,” or “our”) governing your access to and use of the website located at consensusdaily.com and any related pages, features, feeds, and services we provide (collectively, the “Service”). TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CONSENSUS DAILY, ITS OWNERS, OPERATORS, AFFILIATES, OR CONTRIBUTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE OR ANY CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT THAT LIABILITY CANNOT BE EXCLUDED, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100.00).

You agree to defend, indemnify, and hold harmless Consensus Daily and its owners, operators, affiliates, and contributors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of a third party.

10. Copyright Complaints (DMCA)

We respect the intellectual property rights of others and expect users to do the same. 12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the United States and the state in which the operator of Consensus Daily is domiciled, without regard to conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the courts located in that jurisdiction, and you consent to the personal jurisdiction of such courts. Any claim you may have arising out of or relating to the Service must be commenced within one (1) year after the cause of action accrues; otherwise, the claim is permanently barred.

We may revise these Terms from time to time in our sole discretion. When we do, we will update the “Effective date” above. Changes are effective upon posting. 14. Miscellaneous

If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be deemed a waiver of that right or provision. These Terms constitute the entire agreement between you and Consensus Daily regarding the Service and supersede any prior agreements. You may not assign these Terms without our prior written consent; we may assign them freely.
